These Terms of Service (“Terms”) govern your use of the MakeWaves Consultants LLC website at makewavesconsultants.com (the “Site”) and describe the terms under which MakeWaves Consultants LLC (“MakeWaves,” “we,” “us,” or “our”) provides consulting services to clients. By using this Site or engaging our services, you agree to these Terms.

1. Use of This Website

You may use this Site for lawful purposes only. You agree not to use it in any way that violates applicable laws or regulations, infringes the rights of others, transmits spam or malicious code, or interferes with the operation of the Site. We reserve the right to restrict or terminate access to the Site at any time without notice.

2. No Professional Relationship from Site Use Alone

Using this website or contacting us through it does not create a client relationship or engagement. A consulting engagement begins only when a written proposal or Master Service Agreement (MSA) has been executed by both parties. Nothing on this Site constitutes professional advice applicable to your specific situation.

3. Consulting Services

MakeWaves provides operations consulting, process documentation, data structuring, systems implementation, reporting, and AI readiness services to small and mid-size businesses. The specific scope, deliverables, timeline, and fees for any engagement are defined in a written proposal and, for substantive engagements, a Master Service Agreement executed prior to the start of work.

Scope and Changes

Each engagement is scoped to the specific situation of the client at the time of proposal. Changes to scope, timeline, or deliverables after an engagement begins require a written amendment agreed to by both parties. MakeWaves will not absorb scope changes without agreement on revised fees and timelines.

Client Responsibilities

Successful engagements require active client participation. You agree to provide accurate and complete information, make designated personnel available for interviews and review sessions, and respond to requests for input within agreed timelines. Delays caused by the client’s failure to fulfill these responsibilities do not obligate MakeWaves to absorb additional time or cost.

4. Fees and Payment

Fees are defined in your proposal. Assessment engagements are fixed-fee. Implementation and advisory engagements are quoted by scope. Payment terms are specified in each proposal and executed MSA. Invoices are due on the dates stated. Overdue balances may incur a late fee as specified in the executed MSA. MakeWaves reserves the right to pause work on engagements with overdue balances until payment is received.

5. Intellectual Property

Deliverables

Upon receipt of full payment for an engagement, you own the deliverables produced for that engagement, including SOPs, process maps, reporting tools, and documentation created specifically for your business. MakeWaves retains no claim to these materials after payment is complete.

MakeWaves Frameworks and Methods

Our consulting frameworks, methodologies, templates, and tools used in the course of an engagement remain the intellectual property of MakeWaves Consultants LLC. We grant you a license to use any adapted versions of these frameworks within your business, but you may not resell, relicense, or represent them as your own original work.

All content on this Site, including text, graphics, logos, and sample deliverables, is the property of MakeWaves Consultants LLC and is protected by copyright. You may not reproduce, republish, or redistribute Site content without our written permission.

6. Confidentiality

MakeWaves treats all client information, business data, and operational details shared during an engagement as confidential. We do not share client information with third parties except as necessary to perform the services or as required by law. Clients agree to treat any proprietary methodologies, tools, or non-public information shared by MakeWaves during an engagement as confidential.

7. Limitation of Liability

MakeWaves provides consulting advice and deliverables based on the information available and the professional judgment of our consultants. We do not guarantee specific business outcomes, revenue results, or performance improvements. Results depend on many factors outside our control, including the client’s implementation of recommendations and broader market conditions.

To the maximum extent permitted by law, MakeWaves’ total liability to you for any claim arising out of or related to our services or this Site is limited to the fees paid by you to MakeWaves in the three months preceding the claim. In no event will MakeWaves be liable for indirect, incidental, special, consequential, or punitive damages.

8. Indemnification

You agree to indemnify and hold harmless MakeWaves Consultants LLC and its principal consultant from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of this Site, your violation of these Terms, or your breach of any executed agreement with MakeWaves.

9. Disclaimer of Warranties

This Site is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Site is at your own risk.

10. Governing Law

These Terms and any disputes arising from your use of this Site or our services are governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought in a court of competent jurisdiction in Ventura County, California.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Site after any change constitutes acceptance of the updated Terms. Changes to an executed MSA or proposal require written amendment signed by both parties and are not affected by updates to these Terms.
